COUNTERPARTY AND AUTHORITY
[ ] Identify the contracting legal entity and authorised representative.
[ ] Clarify each party's role: owner, trader, representative or coordinator.
[ ] Establish the relationship between the counterparty and the source / lot.
[ ] Arrange relevant independent corporate and authority checks.

SOURCE AND MATERIAL
[ ] Identify the source and lot, including physical location.
[ ] Verify relevant title matters through official channels and local counsel.
[ ] Assess applicable permissions, lawful-source and export requirements.
[ ] Record supply-chain, environmental, social and other material concerns.
[ ] Identify any unresolved origin or custody gaps.

SPECIFICATION AND TESTING
[ ] Obtain the receiver's product specification.
[ ] Make grade, units, moisture basis and impurity thresholds explicit.
[ ] Identify the actual lot represented by each assay.
[ ] Agree a suitable independent sampling, preparation and testing process.
[ ] Verify the report and laboratory scope where appropriate.
[ ] Agree retained samples and the discrepancy / umpire procedure.

COMMERCIAL AND LOGISTICS
[ ] Define quantity, delivery point, timeframe and responsibilities.
[ ] Identify the chosen delivery rule, named place and version.
[ ] Specify payment and ownership provisions separately.
[ ] Review the payment arrangement with appropriate banking / legal advisers.
[ ] Reconcile invoice, packing, weight, testing and movement references.
[ ] Confirm the responsibilities for export and destination requirements.
